All foreign registrations now happen online through eCitizen → Business Registration Service.
If you chose a BRANCH (Foreign Company)
- BRS → 'Register a Foreign Company' → Form FC1.
- Upload the notarised + apostilled parent document pack.
- Submit Form FC2 (notice of local representative) and Form FC3 (registered office in Kenya).
- Pay BRS fees (~ KES 7,500 statutory + variable depending on share capital).
- Wait 2–4 weeks for Certificate of Compliance.
If you chose a SUBSIDIARY
- Reserve the company name (must end in 'Limited').
- File the standard private-company pack: CR1, CR2, CR8, BOF1, Statement of Nominal Capital.
- List the foreign parent as a corporate shareholder — attach its Certificate of Incorporation and board resolution authorising the shareholding.
- Pay KES 10,650.
- Receive Certificate of Incorporation in 7–14 days.
