Assemble and notarise the parent-company pack

This is the slowest step — start it the moment you decide to enter Kenya. Every document must be notarised in the home country, then apostilled (or consularised if the country isn't a Hague Convention member).

Required documents

  • Certified copy of the Certificate of Incorporation of the parent
  • Certified copy of Memorandum & Articles of Association (or constitution / charter)
  • Notarised list of directors and shareholders with addresses, nationalities, passport copies
  • Notarised board resolution authorising the Kenyan registration and naming signatories
  • Power of Attorney appointing the local representative (branch) or local agent (subsidiary)
  • Most recent audited financial statements of the parent (for branches)
  • Apostille / consular legalisation on every notarised document

Issue all power-of-attorney documents with a 12-month validity window. BRS sometimes asks for re-execution if a PoA is more than a year old.
