Post-incorporation: bank, permit, registers
You're a company on paper. These four things make you a company in practice.
- Open a corporate bank account (Cert of Incorporation, CR12, company PIN, board resolution authorising signatories, IDs/PINs of signatories)
- Apply for the Single Business Permit at your county
- Set up statutory registers: Register of Members, Register of Directors, Register of Beneficial Owners
- Get a company seal (still required for some contracts)
- File the annual return (form CR29) every year on the anniversary of incorporation — KES 600
- Lodge changes to directors/shareholders within 14 days using CR9 / CR10
Set 3 recurring calendar reminders today: (1) 9th of every month — PAYE/NSSF/SHIF, (2) 30 April — corporate tax balance, (3) anniversary of incorporation — annual return. Miss none and you'll stay clean.
