Word that you're selling — to staff, customers, or competitors — can damage the business before you've signed anything. Confidential marketing is non-negotiable.

  • Anonymised teaser profile released to vetted, NDA-signed buyers only.
  • A short, professional Information Memorandum (IM) for serious enquiries.
  • Identity disclosed only after NDA, buyer qualification, and your approval.

The detail

The confidential marketing process

  1. Build an anonymised teaser (1 page) — sector, region, revenue / EBITDA bands, headline opportunity.
  2. Build the Information Memorandum (IM) — 15–30 pages, released only after NDA.
  3. Identify and approach a curated list of qualified buyers — strategic + financial.
  4. Filter responses by qualification (proof of funds, sector fit, mandate).
  5. Release IM, then management meetings, then indicative offers.
  6. Shortlist and progress to LOI / exclusivity with the strongest party.

Confidentiality protections

  • Identity only released after NDA, KYC, and your written consent.
  • Staff, customers, suppliers, and competitors are not contacted during marketing.
  • Data room access is logged and revocable.
  • Public-facing teaser intentionally vague on location and customer names.
What leaks usually look like

A staff member spots a familiar logo on a buyer's diligence checklist. A landlord is approached for lease consent before the deal is signed. Manage the process tightly — these leaks can spook customers and tank the price.

Should I tell my staff I'm selling?+

Usually only the CFO and any director who must sign. Broader disclosure is sequenced near completion, with retention bonuses to protect key people.

How long does the marketing phase take?+

8–16 weeks from launch of teasers to receipt of qualified offers. Anything faster usually means you under-priced or under-marketed.
